Terms and Conditions

This Agreement is between you ("User") and Awahe ("Company", "we", "us", or "our"), a company incorporated in California, USA, with its registered address at 2311 N Tracy Blvd, Suite 5, Tracy, CA 95376. This Agreement governs your use of our website (awahe.com), mobile applications, and all related services (collectively, the "Services").

By downloading, accessing, or using any part of the Services, you agree to be bound by these Terms and Conditions. If you do not agree, you must discontinue use of the Services immediately.

You must be at least 13 years of age to use the Services. If you are under 18, you may only use the Services under the supervision of a parent or legal guardian. Certain features, including purchases and enrollment in paid courses, require you to be at least 18 years of age or to have parental or legal guardian authorization.

The mobile application is licensed, not sold, to you, and your use of the Services is subject to this Agreement. We may update these Terms from time to time. Where required, we will notify you of material changes via email or in-app notification. Continued use of the Services after such updates constitutes your acceptance of the revised Terms.

You acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Definitions and Interpretation

In this Agreement, unless the context otherwise requires, the following terms shall have the meanings set out below:
"Account" means the registered account created by a User to access and use the Services, including associated credentials, profile information, and activity data.
"Application" means the Awahe mobile application, including all features, functionalities, updates, upgrades, and related services made available on supported mobile devices.
"Website" means the website located at awahe.com and any associated subdomains, unless expressly excluded by their own terms and conditions.
"Content" means all materials available through the Services, including but not limited to text, graphics, images, audio, video, course materials, software, and data, whether owned by Awahe or licensed from third parties, as well as any content submitted or uploaded by Users.
"Device" means any mobile phone, tablet, or other supported hardware used to access the Application.
"Facilities" means any online tools, features, or resources made available by Awahe as part of the Services, whether now or in the future.
"Intellectual Property" means all intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, course materials, and other proprietary rights owned by or licensed to Awahe.
"Payment Information" means any billing or payment details provided by the User in connection with purchases made through the Services, which may be processed securely by third-party payment providers or platform billing systems.
"Premises" means Awahe’s place(s) of business located at 2311 N Tracy Blvd, Suite 5, Tracy, CA 95376.
"Services" means all services, features, tools, facilities, and functionalities provided by Awahe through the Application, Website, or otherwise, including access to Awahe’s proprietary e-learning platform, educational programs, and related support services.
"Subscription" means any recurring paid plan that provides access to certain Services for a specified billing period and may automatically renew unless cancelled in accordance with these Terms.
"System" means any communication, interaction, or support infrastructure made available through the Services, including messaging systems, notifications, live chat, or customer support tools.
"Third-Party Services" means any external services, platforms, or integrations accessible through the Services that are not owned or controlled by Awahe.
"User" or "Users" means any individual who accesses or uses the Services, whether registered or not.
"We", "Us", or "Our" means Awahe, a company incorporated in California, USA, with its registered address at 2311 N Tracy Blvd, Suite 5, Tracy, CA 95376.

2. Age Restrictions

You must be at least 13 years of age to use the Services. Users under the age of 18 may only use the Services with the consent and supervision of a parent or legal guardian.
Enrollment in paid Services and the use of Payment Information require the User to be at least 18 years of age, or to have the express authorization of a parent or legal guardian.
If you are a parent or legal guardian permitting a minor to use the Services, you agree to be fully responsible for:
  • The minor’s use of the Services;
  • All activities conducted under the minor’s Account.
  • Any payments or obligations incurred through the Services.
All Payment Information must be provided by or with the authorization of a parent or legal guardian.
Awahe does not knowingly collect personal information from children under the age of 13. If we become aware that a User is under 13, we reserve the right to suspend or terminate the Account and delete associated data in accordance with applicable laws. If you believe that a child under 13 has provided personal information, please contact us at info@awahe.com.

3. Business Customers

These Terms and Conditions apply to all Users who access or use the Services, including individuals acting on behalf of a business, organization, or other legal entity.
If you use the Services on behalf of a business or other legal entity, you represent and warrant that:
  • You have full legal authority to bind that entity to these Terms;
  • The entity agrees to be fully responsible for all use of the Services under its Account; and
  • References to “User” in this Agreement shall include both you as an individual and the relevant entity.

These Terms apply equally to business customers who procure or use the Services in the course of their commercial operations.

4. Intellectual Property

All Content available through the Services—including the Website, Application, and any related platforms—such as text, graphics, logos, icons, images, audio, video, course materials, software, underlying code, data compilations, and page layouts, is the property of Awahe, its affiliates, licensors, or other relevant third parties. By using the Services, you acknowledge that such Content is protected by applicable United States and international intellectual property laws.

All rights, title, and interest in and to the Content remain exclusively with Awahe or its licensors. No ownership rights are transferred to you through your use of the Services.
Except as expressly permitted by these Terms or with Awahe’s prior written consent, you may not:
  • Copy, reproduce, modify, or create derivative works from any Content;
  • Distribute, transmit, display, publish, or otherwise make available any Content;
  • Record, download, reproduce, or share course materials in any format;
  • Store, archive, or re-use any Content for commercial or non-personal purposes;
  • Resell, sublicense, or commercially exploit any part of the Services or its Content.

Any unauthorized use of the Content may result in the suspension or termination of your Account and may subject you to civil and/or criminal liability under applicable laws.

5. Third Party Intellectual Property

Certain Content made available through the Services may be owned by third parties, including licensors, partners, or other rights holders, and is used by Awahe under license or with permission. Unless otherwise indicated, all intellectual property rights in such third-party Content—including but not limited to copyrights, trademarks, product images, and descriptions—remain the exclusive property of their respective owners and are protected by applicable United States and international intellectual property laws.
Awahe does not grant you any rights or licenses to third-party intellectual property beyond those strictly necessary for your personal, non-commercial use of the Services in accordance with these Terms.
Without the prior written permission of the applicable rights holder, you may not:
  • Copy, reproduce, modify, or create derivative works from third-party Content;
  • Distribute, publish, transmit, display, or store such Content in any format;
  • Use such Content for any commercial purpose;
  • Re-use such Content in any manner not expressly permitted by these Terms.

Any permitted use of third-party Content remains subject to the terms and conditions imposed by the respective rights holders. Awahe shall not be liable for any unauthorized use of such Content by you.

6. Fair Use and Limited Use of Content

Users may access and use Content through the Services solely for personal, non-commercial purposes and in accordance with these Terms. Nothing in these Terms shall be construed as granting any license or right to use any Content beyond what is expressly provided.
Except as permitted under these Terms or applicable law, no part of the Content may be copied, reproduced, distributed, modified, or used for any commercial purpose without the prior written consent of Awahe or the applicable rights holder.
Where permitted by applicable law—including fair use provisions under United States copyright law—Content may be referenced or cited in limited form without prior written permission, provided that such use:
  • Is non-commercial in nature;
  • Does not adversely affect the value or integrity of the original Content; and
  • Includes appropriate attribution to Awahe or the relevant rights holder.

7. Third-Party Links and Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Awahe. Awahe does not control and is not responsible for the content, privacy policies, or practices of any third-party websites or services. The inclusion of such links does not imply any endorsement or approval by Awahe.
You acknowledge and agree that Awahe shall not be liable for any loss or damage arising from your use of, or reliance on, any third-party content, products, or services accessed through the Services.
You may link to our Website homepage at awahe.com without prior written permission, provided that such linking is fair, lawful, and does not damage our reputation or imply any form of association, approval, or endorsement by Awahe where none exists. 8. Use of Communications Facilities

When using any System within the Services, you agree to comply with the following rules. Failure to do so may result in the suspension or termination of your Account:
  • You must not use obscene, offensive, or vulgar language;
  • You must not submit Content that is unlawful or otherwise objectionable, including but not limited to Content that is abusive, threatening, harassing, defamatory, discriminatory, or harmful;
  • You must not submit Content that promotes or incites violence;
  • You must not impersonate any individual or entity, including employees or representatives of Awahe;
  • You must not use false or misleading identification information;
  • You must not use the System for unauthorized or unsolicited communications, including spam or junk messages;
  • You acknowledge that certain communications may need to be in English for effective support and response.

You further acknowledge and agree that:
  • Awahe reserves the right (but not the obligation) to monitor communications made through the System;
  • Awahe may retain copies of communications for operational, legal, or support purposes;
  • By submitting Content through the System, you grant Awahe a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such Content for the purpose of operating and improving the Services;
  • Awahe reserves the right to remove or modify any Content that violates these Terms or applicable laws.

9. Accounts

To access certain features of the Services, you may be required to create an Account and provide certain personal information. Payment Information may only be required when you make a purchase.
By creating an Account and using the Services, you represent and warrant that:
  • All information you provide is accurate, complete, and up to date;
  • You have the necessary authorization to provide any Payment Information;
  • You will maintain and promptly update your Account information as needed.
You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password, and for all activities conducted under your Account. You must not share your Account details with any third party. Awahe shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials.
If you access the Services on a shared or public device, you are responsible for ensuring that your Account credentials are not stored or accessible to others.
If you believe that your Account has been accessed without authorization, you must notify us immediately at info@awahe.com. We will take reasonable steps to secure your Account; however, we are not responsible for any losses incurred prior to such notification.
You may be responsible for charges incurred through your Account prior to notifying us of unauthorized access, to the extent permitted by applicable law.
When selecting a username or profile name, you must comply with the rules set out in Clause 8 of these Terms. Failure to do so may result in the suspension or termination of your Account.

10. Termination and Cancellation of Accounts

You may terminate your Account at any time by discontinuing use of the Services or by contacting us.
Awahe may suspend or terminate your Account at any time, including where:
  • You violate these Terms;
  • You engage in fraudulent, abusive, or unlawful activity; or
  • Your use of the Services may harm Awahe, other users, or third parties.
Where reasonably practicable, we will notify you of such suspension or termination and provide an explanation.
Upon termination of your Account for any reason, your right to access and use the Services will cease immediately.
If your Account is terminated:
  • Any active subscriptions or Services may be discontinued;
  • You may be responsible for charges incurred up to the effective date of termination, to the extent permitted by applicable law.
Any Content or data associated with your Account may be retained or deleted in accordance with our Privacy Policy and applicable legal requirements

11. Services, Pricing and Availability

Awahe makes reasonable efforts to ensure that all descriptions of Services available through the Website and Application are accurate. However, the nature and delivery of the Services may vary based on individual circumstances, user requirements, or updates to the Services.
Awahe does not guarantee that all descriptions, features, or content are always complete, current, or error-free, but will take reasonable steps to correct any inaccuracies where identified.
Where applicable, you may be required to select a specific plan, package, or Subscription prior to purchasing or accessing certain Services.
Awahe does not guarantee that the Services will be available at all times or without interruption. Availability of Services may be subject to change without notice.
All pricing information displayed through the Services is accurate at the time of publication. Awahe reserves the right to change prices, modify plans, or withdraw promotional offers at any time, to the extent permitted by applicable law.
Where a purchase is made, the price charged will be the price presented to you at the time of checkout or order confirmation.

12. Orders and Provision of Services

Nothing within the Services—including the Website or Application—constitutes a binding contractual offer. Any order placed by you constitutes an offer to purchase Services, which Awahe may accept or reject at its sole discretion. A binding contract is formed only when we confirm acceptance of your order, typically by sending an order confirmation via email or through the Services.
Order confirmations will include relevant details of the Services, which may include:
  • A description of the Services purchased;
  • Applicable pricing and charges;
  • Access details or instructions for use of the Services, where applicable.
If you believe that any Services provided do not conform to your order, you should contact us promptly at info@awahe.com. We will review the issue and take appropriate steps in accordance with applicable policies and laws.If Awahe does not accept your order, no contract will be formed. Where payment has already been processed, any applicable refund will be issued in accordance with our refund or cancellation policies and applicable law.
Payment for Services may be processed at the time of purchase and, where applicable, on a recurring basis for Subscriptions, as disclosed at the time of checkout.
Awahe will use reasonable efforts to provide the Services within a reasonable timeframe. However, all timeframes are estimates only and may be subject to change due to operational or technical factors.
Awahe will provide the Services with reasonable skill and care, consistent with generally accepted industry standards.
Additional terms and conditions may apply to specific Services, and you may be required to accept such terms at the time of purchase or use.
Awahe may provide customer support through available channels, but we do not guarantee response times or availability of support services.

13. Cancellation of Orders and Refund Policy

Awahe aims to provide high-quality Services and wants you to have a positive experience. If you have any questions regarding your order, you may contact us at info@awahe.com or at our registered address.
You may cancel an order in accordance with this clause. Where specific Services include additional cancellation terms, those terms will apply.

13.1 Digital Services and General Policy

Due to the nature of digital products and online Services, certain purchases may be non-refundable once access has been granted or Services have commenced.
Unless otherwise required by applicable law or stated otherwise:
  • Refunds will generally not be provided once access to digital content, training materials, or platforms has been granted;
  • Refunds will not be issued where Services have been delivered as described;
  • Missed sessions, lack of participation, scheduling conflicts, or changes in personal circumstances do not typically qualify for refunds.

Refund requests may be reviewed on a case-by-case basis at Awahe’s discretion. Approved refunds, where applicable, will be processed through the original payment method, subject to payment provider timelines.
For purchases made through third-party platforms (such as mobile app stores), refunds may be subject to the respective platform’s billing and refund policies.

13.2 European Union Customers

If you are a consumer located in the European Union, you may have a statutory right to cancel your purchase within 14 days of confirmation (the “cooling-off period”), unless an exception applies.
If you request that Services begin during the cooling-off period:
  • You acknowledge that your right to cancel may be reduced or lost once the Services have been fully performed;
  • If you cancel after Services have begun, you may be required to pay for the portion of Services already provided, in accordance with applicable law.


13.3 Service Delivery Issues

If Awahe is unable to provide the Services as agreed, you may be eligible for a refund or other appropriate remedy in accordance with applicable laws.

14. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
You may review our Privacy Policy at awahe.com/privacy or access it within the Application settings or through the relevant app store listing.

15. How We Use Your Personal Information (Data Protection)

We collect and process personal information in connection with your use of the Services, including the Website and Application. This information may include your name, contact details, payment-related information, and usage data.
All personal information is collected, used, stored, and protected in accordance with applicable data protection laws, including but not limited to the California Consumer Privacy Act (CCPA) and other relevant privacy regulations.

  • Provide, operate, and manage the Services;
  • Process payments and manage billing;

All information and Content provided through the Services is made available in good faith; however, Awahe does not warrant or guarantee its accuracy, completeness, or suitability for any particular purpose. Your use of the Services and reliance on any Content is at your own risk.
The Services are intended for educational and informational purposes only. Nothing within the Services constitutes professional advice, including but not limited to legal, financial, tax, or compliance advice. You are solely responsible for any decisions or actions taken based on the Content.
Nothing in the Services constitutes a binding contractual offer. All orders and agreements are subject to acceptance by Awahe in accordance with Clause 12 of these Terms.
While Awahe takes reasonable measures to maintain the security and functionality of the Services, we do not guarantee that the Services will be free from errors, viruses, or other harmful components. You are responsible for implementing appropriate safeguards to protect your device, data, and personal information.
To the extent permitted by law, Awahe shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

17. Changes to the Services and These Terms

Awahe reserves the right to modify, update, suspend, or discontinue any part of the Services or their Content at any time, to the extent permitted by applicable law.
We may also update or revise these Terms from time to time. Where changes are material, we will make reasonable efforts to notify you in advance, including by email or through in-app notifications.
Your continued use of the Services after any updates become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services and may request closure of your Account by contacting us at info@awahe.com.
Where changes to these Terms are required by applicable law or regulatory requirements, such changes may take effect immediately or as required, and may apply to your continued use of the Services.

18. Availability of the Services

The Services are provided on an “as is” and “as available” basis. Awahe uses commercially reasonable efforts and industry-standard practices, including cloud-based infrastructure, to maintain the availability and performance of the Services. However, we do not guarantee that the Services will be uninterrupted, error-free, or continuously available at all times.
To the fullest extent permitted by applicable law, Awahe disclaims all warranties, whether express or implied, including but not limited to warranties of fitness for a particular purpose, accuracy, reliability, availability, or compatibility.
Temporary interruptions, delays, or limitations in availability may occur from time to time. Where required by applicable law, or where Services are materially affected, appropriate remedies may be provided in accordance with our policies.
Awahe shall not be liable for any failure or delay in the availability of the Services resulting from causes beyond our reasonable control, including but not limited to:
  • Internet service provider failures or hosting outages;
  • Telecommunications or network infrastructure disruptions;
  • Power outages or utility failures;
  • Natural disasters, acts of war, terrorism, or civil unrest;
  • Government actions, legal restrictions, or regulatory changes.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Awahe shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of, or inability to use, the Services.
Nothing in these Terms shall exclude or limit Awahe’s liability where it would be unlawful to do so, including liability for:
  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Any other liability that cannot be excluded or limited under applicable law.
To the extent permitted by law, Awahe’s total aggregate liability for any claims arising out of or relating to the Services shall be limited to the amount you have paid to Awahe for the specific Service giving rise to the claim.
You acknowledge that your use of the Services is at your own risk.
If any provision of this clause is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

20. No Waiver

Failure or delay by Awahe in exercising any right, power, or remedy under these Terms shall not constitute a waiver of that right, power, or remedy, nor shall it prevent Awahe from exercising it at any future time.

21. Previous Terms and Conditions

In the event of any conflict between these Terms and any prior versions, the current version shall prevail unless expressly stated otherwise.
The most recent version of these Terms will always be available at awahe.com/terms and within the Application and website.

22. Third-Party Rights and Services

Nothing in these Terms is intended to confer any rights upon any third party, and no third party shall have the right to enforce any provision of these Terms.
This Agreement is made solely between you and Awahe.
The Services may include integrations with, or links to, third-party platforms, tools, or services. Awahe does not control and is not responsible for the content, availability, or practices of any third-party services.
Your use of third-party services is at your own risk and subject to the terms and conditions and privacy policies of those third parties.

23. Communications

All formal notices and communications to Awahe must be sent either by post to our Premises at 2311 N Tracy Blvd, Suite 5, Tracy, CA 95376, or by email to info@awahe.com.
Notices will be deemed received:
  • By post: three (3) business days after the date of posting;
  • By email: on the day of receipt if received during normal business hours, or on the next business day if received outside such hours.

Awahe may send you service-related or promotional communications where permitted by law. You may opt out of marketing communications at any time by using the unsubscribe link in any email or by contacting us at info@awahe.com.

24. Mobile Application License

The Awahe mobile application is licensed, not sold, to you. Subject to your compliance with these Terms, Awahe grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Application for personal, non-commercial purposes.
This license does not grant you any ownership rights in the Application or its underlying software, source code, or intellectual property.
Awahe reserves the right to suspend or revoke this license if you violate these Terms.
We do not guarantee that the Application will be compatible with all devices, operating systems, or third-party software. You are responsible for ensuring that your device meets the necessary requirements for use.

25. Payments and Subscriptions

Certain Services may be offered as one-time purchases or as subscription-based plans.
Subscriptions will automatically renew at the end of each billing period unless cancelled prior to the renewal date.
If you subscribe through a third-party platform such as the Google Play Store or Apple App Store, you must manage, modify, or cancel your subscription directly through your app store account settings. Awahe does not have the ability to manage or cancel subscriptions purchased through these platforms.
All in-app purchases are subject to the billing terms and policies of the applicable app store provider.
For purchases made directly through the Website, payments are processed securely via third-party payment providers. All prices are displayed in USD unless otherwise stated.
Awahe is not responsible for billing issues caused by third-party platforms, including app store providers. Any billing disputes relating to such purchases should be directed to the relevant platform, subject to their policies.

26. Law and Jurisdiction

These Terms and Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
You and Awahe agree that the state and federal courts located in San Joaquin County, California, USA shall have exclusive jurisdiction to resolve any disputes arising out of or relating to these Terms or your use of the Services.
If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws and regulations in your jurisdiction. Awahe makes no representation that the Services are appropriate or available for use in all locations.
